The Non-Disclosure Agreement (NDA) is a legal document signed BEFORE you share ideas about a program, product, or service with a colleague or potential partner to protect your intellectual property. It’s also called a Confidentiality Agreement.
It’s a legally binding agreement that spells out how the other person can and can’t use or disclose information you share with them.
Be sure the NDA is signed by both of you BEFORE you share your ideas.
Note: An NDA is NOT an agreement for services. It ONLY says how information can be shared or used. It does not lay out services and payment between parties. Use a separate agreement to spell out the services and payment exchanged when working together in a client or contractor relationship.
